1. Acceptance of Terms

By using this website or purchasing my services, you agree to comply with and be legally bound by these Terms, along with our Privacy Policy. If you do not agree, please do not use this website or engage my services.

2. Services Description

Dominik Gábor provides AI consulting and automation services, including but not limited to:

• AI Kickoff Audit: Comprehensive workflow analysis and AI implementation roadmap (starting at €750)
• Custom AI Solutions: Development of tailored AI systems, chatbots, and automation tools
• AI Education & Team Training: Workshops and training on 27+ AI tools and automation platforms
• Free Resources: Downloadable prompt libraries, guides, and educational content

All services are provided on a project basis or as otherwise agreed upon in writing.

3. Service Agreement and Scope

3.1 Engagement Process

1. Initial Consultation: Free 30-minute discovery call to discuss your needs
2. Proposal: I will provide a written proposal outlining scope, deliverables, timeline, and pricing
3. Agreement: Services begin upon mutual acceptance of the proposal and receipt of payment (or deposit)

3.2 Scope Changes

Any changes to the agreed scope of work must be documented in writing and may result in adjusted pricing and timelines.

3.3 Client Responsibilities

To ensure successful project delivery, you agree to:

• Provide timely access to necessary information, systems, and personnel
• Respond to requests for feedback and approvals within agreed timeframes
• Ensure compliance with your organization's IT and security policies
• Provide accurate and complete information about your business processes

4. Pricing and Payment Terms

4.1 Service Pricing

• AI Kickoff Audit: Starting at €750 (fixed price, payable upfront)
• Custom AI Projects: Pricing varies based on scope (quoted in proposal)
• Training Sessions: Pricing based on duration and team size (quoted in proposal)
• Ongoing Support: Monthly retainer or hourly rates (as agreed)

4.2 Payment Schedule

• Small Projects (under €5,000): 100% upfront payment
• Medium Projects (€5,000 - €15,000): 50% upfront, 50% upon completion
• Large Projects (over €15,000): Milestone-based payments (as outlined in proposal)

4.3 Payment Methods

Accepted payment methods: Bank transfer (SEPA), PayPal, Stripe (card payments). Invoices are issued via email.

4.4 Late Payment

Invoices are due within 14 days of issuance. Late payments may incur:

• Late fee of 1.5% per month (or maximum allowed by law)
• Suspension of services until payment is received
• Cancellation of agreement for payments overdue by 30+ days

4.5 Taxes

All prices are exclusive of VAT and other applicable taxes. You are responsible for any taxes required in your jurisdiction.

5. Intellectual Property Rights

5.1 Client Ownership

Upon full payment, you own:

• Custom AI Solutions: Code, configurations, and systems developed specifically for you
• Deliverables: Reports, documentation, and materials created for your project
• Training Materials: Slides, guides, and resources provided during training (for internal use only)

5.2 My Retained Rights

I retain ownership of:

• Pre-Existing Materials: Templates, frameworks, methodologies, and tools developed prior to our engagement
• General Knowledge: Expertise, techniques, and know-how gained during the project
• Portfolio Rights: Right to showcase the project in my portfolio (with your permission and anonymization if requested)

5.3 Third-Party Tools and Licenses

Some solutions may use third-party platforms (OpenAI, Supabase, n8n, etc.). You are responsible for obtaining necessary licenses and complying with their terms of service.

5.4 Confidential Information

I will not disclose your confidential business information without your written consent, except as required by law.

6. Warranties and Disclaimers

6.1 Service Warranty

I warrant that:

• Services will be performed with reasonable care and skill
• Work will conform to the agreed specifications
• I have the right to provide the services and deliverables

6.2 No Guarantee of Results

IMPORTANT: While I strive for excellence, I do not guarantee specific business outcomes, ROI, or performance metrics. AI and automation results depend on many factors outside my control, including:

• Data quality and availability
• User adoption and implementation
• Third-party platform performance
• Changes in business processes or technology

6.3 Disclaimer of Warranties

Except as expressly stated, services are provided "AS IS" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

7. Limitation of Liability

7.1 Liability Cap

To the maximum extent permitted by law, my total liability for any claims arising from our agreement shall not exceed the total fees paid by you in the 12 months preceding the claim.

7.2 Excluded Damages

I shall not be liable for:

• Indirect, incidental, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Costs of substitute services
• Damages resulting from third-party platforms or tools

7.3 Exceptions

Nothing in these Terms limits liability for:

• Death or personal injury caused by negligence
• Fraud or fraudulent misrepresentation
• Any other liability that cannot be excluded by law

8. Refund and Cancellation Policy

8.1 AI Kickoff Audit

• Full Refund: If you cancel at least 48 hours before the scheduled audit
• No Refund: Cancellations within 48 hours or after audit delivery

8.2 Custom Projects

• Before Work Begins: Full refund minus 10% admin fee
• After Work Begins: Prorated refund based on work completed
• After Delivery: No refunds, but I will work with you to address concerns

8.3 Training Sessions

• Cancellation: Full refund if you cancel 7+ days in advance
• Rescheduling: Free rescheduling once; second reschedule incurs 20% fee

8.4 Free Resources

No refunds for free downloads (they're free!).

9. Termination

9.1 Termination by You

You may terminate our agreement by providing written notice. You remain responsible for payment of work completed up to the termination date.

9.2 Termination by Me

I may terminate our agreement immediately if:

• You fail to make payment within 30 days of the due date
• You breach these Terms and fail to remedy within 14 days of notice
• You engage in conduct that is abusive, threatening, or illegal

9.3 Effects of Termination

• You must pay for all work completed up to the termination date
• I will deliver any completed deliverables upon final payment
• Confidentiality obligations survive termination

10. Confidentiality and Non-Disclosure

10.1 Mutual Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during our engagement, including:

• Business strategies, workflows, and operational data
• Technical specifications and custom AI implementations
• Pricing and commercial terms

10.2 Exceptions

Confidentiality does not apply to information that:

• Is publicly available or becomes publicly available through no fault of the receiving party
• Is required to be disclosed by law or court order
• Is independently developed without use of confidential information

11. Indemnification

You agree to indemnify and hold me harmless from any claims, damages, or expenses (including legal fees) arising from:

• Your use of services in violation of these Terms
• Your breach of applicable laws or regulations
• Your infringement of third-party rights
• Content or data you provide for AI training or implementation

12. Force Majeure

I shall not be liable for delays or failures in performance caused by events beyond my reasonable control, including but not limited to:

• Natural disasters, pandemics, or acts of God
• Government actions, war, or terrorism
• Internet or telecommunications failures
• Third-party platform outages (OpenAI, Supabase, etc.)

In such cases, deadlines will be extended reasonably, and fees may be adjusted if the delay is prolonged.

13. Dispute Resolution

13.1 Informal Resolution

Before initiating formal legal action, parties agree to attempt to resolve disputes through good-faith negotiation for at least 30 days.

13.2 Governing Law

These Terms are governed by the laws of Germany (or the Netherlands, depending on project location). Any disputes will be resolved in the courts of Berlin, Germany, or Amsterdam, Netherlands.

13.3 Arbitration (Optional)

For disputes over €10,000, parties may agree to binding arbitration under the rules of the German Arbitration Institute (DIS) or similar body.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with any written proposal or statement of work, constitute the entire agreement between us and supersede all prior discussions, agreements, or understandings.

16. Amendments

I reserve the right to update these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date. Continued use of services after changes constitutes acceptance of the new Terms.
